You are about to purchase the Keppe Motor KIT, Keppe Motor Manual 1.0 or the Keppe Motor Manual 3.0. Please review the clauses below before purchasing. Choosing “I accept the conditions of the Contract herein,” indicates an agreement with each clause and condition. If you do not agree with the terms of the Contract herein, choose the option “I do not agree with the conditions presented in the Contract herein” and do not proceed with your purchase.

CESSION OF RIGHTS CONTRACT

The Cession of Rights Contract (hereafter referred to as "Contract") is entered into by the purchaser, who will complete the acceptance of terms and conditions (hereafter referred to as “End User”), and the Keppe & Pacheco Association, maintain a registered office at Avenida Rebouças, 3819, CEP 05401-450, Jardim Paulistano, São Paulo, SP, registered at the Corporate Taxpayer Registry (CNPJ) under nº 02.620.253/0001-93 (hereafter referred to as “Keppe & Pacheco”). This Contract authorizes the End User to privately use the technology, as described in the manual of the electromagnetic motor and equipment to generate work torque (hereafter referred to as the “Keppe Motor”), which will be available for download, shipping or electronic mailing after receipt of payment.

1.  PURPOSE OF THE CONTRACT 
The purpose of the Contract herein is the cession of rights to use the Keppe Motor KIT or Keppe Motor Manual and does not refer, whatsoever, to full or partial assignment of property and/or ownership of the rights of the invention or the method used for the procurement of the final result. Keppe & Pacheco will remain sole and exclusive titleholder of the moral and patrimonial rights of the invention and its method, which registry application was entered at the National Institute of Industrial Property (INPI), as well as the titleholder of all (printed or virtual) explanatory material produced regarding the product.

2.  RIGHTS OF USE BY THE END USER
2.1.  The rights described in clause 1 shall be given to the End User by means of paying the amount set forth in clause 6 and against the download or receiving of the Keppe Motor KIT or Keppe Motor Manual containing the detailed procedure of the Keppe Motor.

2.1.1.  After accepting the conditions provisioned in the Contract herein and the End User Register procedure (hereafter referred to as “Register”), the End User will receive an email with a transaction identity number (or authentication number), necessary to activate his register.

2.1.2.  Each registration allows the acquisition of one Keppe Motor KIT or Keppe Motor Manual. If the End User finds any technical difficulty completing his register or downloading or receiving the Keppe Motor KIT or Keppe Motor Manual at his virtual address to download the file, or if he does not receive the virtual address or the Manual by electronic means, or if he does not receive the KIT by mail, he shall contact Keppe & Pacheco through customer service, so Keppe & Pacheco may arrange shipping of the Keppe Motor KIT or Keppe Motor Manual by other (physical or virtual) means. It will be necessary to inform customer service of the transaction identity number.

2.2.  By downloading the Manual, or receiving the Keppe Motor KIT or Keppe Motor Manual directly from Keppe & Pacheco, the End User becomes the titleholder of a non-exclusive, non-transferable right to use the procedure described in the Keppe Motor Manual.

2.3.  The End User will only use the Keppe Motor KIT or Keppe Motor Manual for his private use and commercial use is prohibited.

2.4.  The Contract herein does not grant the End User any patent license of the Keppe Motor, nor does it assign any patrimonial or moral rights for this invention.

3.  LIMITATIONS TO THE END USER'S RIGHTS 
3.1.  Any modification, translation, reproduction, lending, rental, resale, cession, assignment or any other form of making this Keppe Motor KIT or Keppe Motor Manual available to third parties, as well as any other materials which might be made available to the End User by Keppe & Pacheco in the future is forbidden.

3.2.  The End User agrees to use the Keppe Motor KIT or Keppe Motor Manual only for the purposes that meet the legislation in the jurisdiction which it will be used, including, but not limited to the restrictions related to copyrights and intellectual property rights.

3.3.  Keppe & Pacheco will not be responsible for damages resulting from the End User's malpractice or lack of caution in handling the material of the Keppe Motor. Nor will Keppe & Pacheco be responsible for results other than those provisioned in the Keppe Motor KIT or Keppe Motor Manual, or occasional damages resulting from the replacement of the material originally suggested, by materials of different quality, quantity and/or technical specification.

4.  OBLIGATIONS OF THE END USER
4.1. The End User undertakes to assemble the Keppe Motor as described in the Keppe Motor KIT or Keppe Motor Manual and not to replace materials, alter the quantity and/or quality, or make any other modification unless carried out under his own responsibility and risk, in which case Keppe & Pacheco shall be deemed exempted from all responsibility under clause 3.3.

4.2.  The End User undertakes the obligation to employ all the procedures described in the Manual to assemble the Keppe Motor exclusively for individual and noncommercial purposes and will be aware that the noncompliance of this obligation will authorize Keppe & Pacheco to take judicial and extrajudicial measures deemed feasible to defend its rights.

5.  INTELLECTUAL PROPERTY RIGHTS AND COPYRIGHTS  
5.1.  The intellectual property rights of the Keppe Motor assembly, Keppe Motor KIT or Keppe Motor Manual herein are Keppe & Pacheco’s exclusive ownership and are duly protected by international treaties and national legislation applicable in the country where it is being traded.

5.2.  The Keppe Motor KIT or Keppe Motor Manual, prepared by Keppe & Pacheco, being the sole titleholder of its copyrights, prohibits the End User and/or any third party to reproduce, fully or partially, sell or make available this material, free of charge or through payment without the prior notification and explicit agreement of Keppe & Pacheco.

6.  PAYMENT
The fee for the rights to use the Keppe Motor KIT is US$ 320.00 (three hundred twenty American dollars) and US$ 50.00 (fifty American dollars) for the Keppe Motor Manual. Payment can be made by VISA, Mastercard, AMEX and Discover cards or by bank transfer to the Keppe Motor PayPal account.

7.  SUPPORT TO THE END USER
Keppe & Pacheco will make available to the End User customer service to clarify technical questions related to the download of the Manual and offer support for the Keppe Motor assembly. The transaction number received after purchase is required to access customer service.

8.  GENERAL INFORMATION
8.1.a.  The Keppe Motor KIT or Keppe Motor Manual is simple, detailed, and illustrated and does not require any prior technical knowledge.

8.1.b.  Before purchasing the Keppe Motor Manual, the End User should refer to the parts list and their specifications at http://www.keppemotor.com/partslist.php or www.keppemotor.com .

8.2.  Keppe & Pacheco recommends that those who have no previous technical experience should not experiment with the Keppe Motor assembly. Altering the parts and/or specifications may cause unforeseeable results or possible risk of damages to the End User, for which Keppe & Pacheco takes no responsibility.

8.3.  Keppe & Pacheco provides no guarantee as to the result of the Keppe Motor KIT or Keppe Motor Manual, nor does it assure that the procedure described in the Keppe Motor KIT or Keppe Motor Manual will fully satisfy the End User's needs and expectations or that its handling will be free of errors.

8.4.  The Contract herein creates no other bond on the part of Keppe & Pacheco beyond what is explicitly hereby set forth.

9.  LIMITATION OF RESPONSIBILITY 
Within the maximum strictness allowed by applicable legislation, Keppe & Pacheco, its affiliates or employees will not be, under any circumstance, held responsible for loss of profits, loss of income, sales or commodity purchase costs, damage to property, bodily injuries or any direct, indirect or incidental damages, regardless of how they were caused or as a result of contracts, appeal, negligence or other guilty modality stemming from the Keppe Motor material malpractice handling.

The limitations of the above mentioned device do not harm the consumer's statutory rights nor exempts or limits Keppe & Pacheco's responsibilities towards the End User in case of damage resulting from its negligence.

10.  APPLICABLE LEGISLATION AND COMPETENT JURISDICTION 
10.1. The Contract herein will be ruled by the laws of the Federal Republic of Brazil.

10.2.  The parties hereby elect the Courts of the Judicial District of São Paulo to solve any occasional legal disputes that might emerge from the application of the contract herein.

10.3.  The parties agree that an occasional acknowledgement of nullity or inapplicability of these clauses shall affect the validity of the rest of the Contract, which will remain unaltered and in place, except the provisions that become annulled.
